PULSE MEDIA AI - TERMS OF SERVICE AND HOLD HARMLESS AGREEMENT Last Updated: January 2026 PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING OUR SERVICES. 1. ACCEPTANCE OF TERMS By creating an account and using Pulse Media AI services ("Services"), you ("User", "You", or "Client") agree to be bound by these Terms of Service and Hold Harmless Agreement ("Agreement"). If you do not agree to these terms, do not create an account or use our Services. 2. DESCRIPTION OF SERVICES Pulse Media AI provides dealer management software, analytics, and related tools for automotive dealerships and businesses. Our Services include but are not limited to: - Vehicle inventory management - Point of sale systems - Floor plan tracking - Customer relationship management - Marketing automation - Analytics and reporting 3. HOLD HARMLESS AND INDEMNIFICATION You agree to hold harmless, defend, and indemnify Pulse Media AI, its officers, directors, employees, agents, licensors, suppliers, and any third-party information providers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from: a) Any violation of this Agreement by you; b) Your use or misuse of the Services; c) Any inaccuracy or defect of any information or material you provide; d) Any claim arising from your business operations; e) Any tax, regulatory, or compliance matters related to your business; f) Any disputes with your customers, vendors, or third parties; g) Data loss or corruption from any cause; h) System downtime or service interruptions; i) Integration failures with third-party services. 4. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, PULSE MEDIA AI SHALL NOT BE LIABLE FOR ANY: - Direct, indirect, incidental, special, consequential, or punitive damages; - Loss of profits, revenue, data, or business opportunities; - Errors or omissions in any content; - Unauthorized access to or alteration of your transmissions or data; - Actions of any third party on the Service; - Service interruptions or technical issues. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. 5. DATA AND PRIVACY - You retain ownership of your data - You grant us license to process your data to provide Services - We implement reasonable security measures - We are not liable for data breaches beyond our reasonable control - You are responsible for maintaining your account security 6. SERVICE AVAILABILITY We strive for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated when possible. Emergency maintenance may occur without notice. 7. COMPLIANCE You are solely responsible for ensuring your use of our Services complies with all applicable federal, state, and local laws, including but not limited to: - Consumer protection laws - Privacy regulations - Financial regulations - Automotive industry regulations - Tax requirements 8. TERMINATION Either party may terminate this Agreement at any time. Upon termination, your access to the Services will cease. We may retain your data as required by law. 9. MODIFICATIONS We reserve the right to modify these terms at any time. Continued use after modifications constitutes acceptance. 10. GOVERNING LAW This Agreement shall be governed by the laws of the State of Missouri, without regard to conflict of law principles. 11. ENTIRE AGREEMENT This Agreement constitutes the entire agreement between you and Pulse Media AI regarding the use of our Services.
